By-Laws
ARTICLE I
1. The name of this organization shall be DirtHedz Offroad Club, hereinafter referred to as DH or the club.
ARTICLE II
Objectives:
1. To provide a social, educational, and recreational environment for it’s members.
2. To create a family-oriented organization where we can gather for the purpose of exploring, preserving, and enjoying the remote areas of Utah and its surrounding states.
3. To be readily available, when called upon, to help in emergencies where our four wheel drive vehicles and personnel are needed.
4. To actively pursue the adoption and care of a trail that may be declared by the DH at a later date.
5. To participate and support in civic activities for the betterment of the community.
6. To play an active role in maintaining our public lands and keeping trails open for use.
ARTICLE III
Memberships:
1. Owners of any offroad vehicle are eligible for membership in the DH.
2. Applicants must be at least age 18 and have current vehicle insurance and posses a current and valid state drivers license.
3. All applicants must attend a minimum of 2 meetings or events before submitting their application.
4. Applicants for membership must be sponsored by a member in good standing.
5. Each application shall be reviewed by the Board of Directors before membership is granted.
6. Dues for the DH shall be $35 annually per year. Of which a $10 donation shall be paid annually to the U4WDA for club membership.
7. Resignation of any member shall be in writing and submitted to the Secretary.
8. When a member disposes of and/or no longer posses an offroad vehicle, his/her membership in this club shall be terminated.
9. Any member that provides 5 years of active dedicated membership shall be known as an executive member.
10. All members who pass and sign these by-laws into effect shall be known as founding members and maintain a permanent seat on the clubs Board of Directors. (Special exception shall be made if necessary by vote of the Board of Directors.)
11. Individual memberships are to be considered family memberships, to include all members of an immediate family. Each paid membership shall be entitled to no more than one vote on any matter, unless there is more than one adult, (meaning any person over the age of 18, who is also an active participating member.) in a single family membership. In that case, each adult is entitled to one vote on any matter.
12. If at any time a member sells or disposes of an offroad vehicle, all DH logos and stickers must be removed from that vehicle.
Business Members:
1. Business members shall be known as sponsor members and shall not receive a vote on club matters.
ARTICLE IV
Governing Bodies:
Section A – Board of Directors
1. The Board of Directors shall henceforth be known as the DirtCrew.
2. The DirtCrew shall be made up of all founding members as stated in Article III paragraph 10. All current DH officers shall also hold a seat on the DirtCrew during their term of office. The exiting President shall hold a seat on the DirtCrew for one year following their term in office.
3. The DirtCrew shall meet at the direction of DH as necessary or when three or more officers shall call for such a meeting.
4. If at anytime, a member of the DirtCrew disgraces himself or the club in a detrimental way, their position and or membership into the DH can be revoked by a unanimous decision by the remaining members of the DirtCrew.
5. In any matter that may adversely effect the direction or mission of the DH may be reviewed and overturned by unanimous vote by the DirtCrew.
Section B – Officers
1. Officers Authority
a. The club officers shall control the day to day operations of the DH.
b. The club officers shall have the power to manage all affairs of DH on any and all questions relating to DH, and to make all contracts necessary for the proper transaction of all business. The officers shall have complete jurisdiction over all matters pertaining to the care, conduct, control, supervision, and management of DH and its finances except as stated in Article IV Section A paragraph 5. All expenditures of DH will require two signatures; any combination of, President, Vice President, or Treasurer.
2. Officers Duties
a. Shall organize and conduct monthly meetings and trailride activities.
b. Shall maintain accurate and up to date records of club business and activities.
c. Shall appoint, when needed, special committees, to plan, organize, or operate events and activities.
d. Shall appoint, when needed, delegates to any association of which DH may become associated with for the purpose of conferring with said associations or organizations.
e. Shall suspend a member for any conduct in violation of these by-laws.
f. Shall call special meeting of DH to consider special subjects.
g. Shall prescribe additional duties for any officers in addition to those herein set forth.
h. Shall report to the DirtCrew, and general membership, on the current status of the club.
President
The President shall preside at all meetings of DH and DirtCrew meetings. He/She shall enforce all laws and regulations of DH. The President shall, with the Treasurer or Vice President sign all written contracts and written obligations of DH. The President shall have the power to appoint committees whenever it becomes necessary. The President has the responsibility to report to the membership once a month on chapter affairs by way of the club newsletter. The President shall appoint additional officers as needed. (Land use officer, Merchandise officer, etc.)
Vice President
In the absence of the President, his/her duties shall be performed by the Vice President. In the event of the death, disability resignation, or expulsion of the President, the Vice President shall assume the duties of the President for the remainder of the term. The Vice President shall assist the President in the day to day operations of the DH.
Secretary
The Secretary shall keep minutes and other official reports of DH. The Secretary shall maintain the chapter membership roster, and supply copies to the chapter officers and DirtCrew. The Secretary shall be responsible for collecting article, photos, and related items for a current scrapbook of club events. Secretary shall also assist in the creation of the club newsletter and may appoint assignments for the newsletter as necessary.
Treasurer
The Treasurer shall keep an account of all monies received by him/her, and deposit the same in the name of DH in such bank as designated by the DirtCrew. He/She shall not pay out any monies of DH without permission from the DirtCrew. At the end of each annual quarter, the Treasurer shall give an accounting of all balances and expenditures for the club and make such information available to the general membership. At the annual meetings he/she shall submit a detailed report of the financial condition of the club. Any financial transactions will require signatures of approval from at least two members of the DirtCrew.
Public Relations and Merchandise Officer
The merchandise officer shall be responsible for all DH related merchandise, including back issues of newsletters, t-shirts, stickers, or any other material used to promote revenue for the club. The MC shall keep a detailed log of all merchandise possessed by DH as well as records of all purchases which shall be turned over to the Treasurer. The MC shall also work with the Secretary in contacting members of the media in relation to club activities. This position is not voted upon by the general membership, it shall be appointed by the President.
Section C – Officer Elections and Terms
Election of new officers
1. New officer elections shall be held every year at the November meeting.
2. Nominations shall be made verbally by any member.
3. A majority vote is required to elect a new officer.
Terms of officers
1. Officer terms shall start on Dec. 1st following the election.
2. Exiting officers shall maintain power of their respective office until Dec. 31st to assist in the transition period with new officers.
3. Officers may only serve one consecutive term in the same office unless there is a majority vote by the general membership for that officer to continue in their respective office.
4. Any officer who shall absent him/herself from three consecutive officer meetings, without giving notice prior to absence, shall be deemed to have resigned as an officer, and cease to hold office. A new officer will be appointed by the DirtCrew until the next election.
Officer Eligibility
1. Any member that has provided a minimum of one year active membership and is in good standing may be nominated for an office.
ARTICLE V
Events
1. All events shall be subject to approval by the DirtCrew. Events will e under the direction of a Trip leader, appointed by the DirtCrew.
2. All members, including the DirtCrew are responsible to the direction of the appointed Trip Leader and his appointed assistants from the set time of the beginning of an event, to the termination of an event. At no time has any member or officer the right to demand any unscheduled stop or change of route or plan. No provision is to be made to permit any member to join an event at any location or time other that the location and said time decided upon for the event if such provision causes any change of time, any stop, any delay, or any change of route.
3. All events must be conducted in an orderly manner and with safety as the prime factor. Any event held on private property shall be subject to liability releases.
4. No member or guest under the age of eighteen shall be permitted to drive in any event unless accompanied by or with written permission of parent or guardian.
5. All competitive events shall e under the direct authority, supervision, and control of the DirtCrew. The DirtCrew shall determine entrance classifications and regulations for various events and shall approve trophies and awards to be presented. Anyone determined to be physically of mentally disturbed at the time of an event shall be disqualified. Vehicles may be subject to technical inspection varying according to the type of event and shall be disqualified if found to be mechanically unsafe.
6. All members and guest participating in an event shall abide by the Motor Vehicle Code of the stare concerned and by the laws and regulations of the city, the county, or the circumstances involved.
7. All vehicles participating in a club trailride shall meet minimum safety requirements as set by the DirtCrew or appointed Trail Leader.
8. Members are responsible for any and all guest, children, or pets that accompany them to any DH event.
ARTICLE VI
Code of Conduct
The DirtCrew ask that all members conduct themselves in a respectful manner that will not bring shame or disgrace to the club. We are a common sense club so we have very few rules in our code of conduct.
1. Follow the Golden Rule, whenever possible.
2. It is encouraged that all trailrides be a dry trail system. NO drivers shall be permitted to operate a vehicle on a DH trailride under the influence of alcohol or any other controlled or illegal substance. Doing so is grounds for immediate termination of club membership.
3. Partaking in alcoholic beverages in the campground area shall be permitted, (and usually encouraged).
4. All rules shall be enforced through an honor system.
ARTICLE VII
Amendments and Quorum
1. A quorum shall be 51% of the general membership. This is the required amount of members that must be present for voting purposes.
2. These By-laws may be amended by a two-thirds majority vote at a regular membership meeting, a quorum being present and voting. Any amendment to the By-laws must be presented to the membership at the regular membership meeting preceding that in which the vote is to be held.
3. The rules and regulations stated in these by-laws are subject to exception with a majority vote by the DirtCrew.
BY SIGNING THESE BY-LAWS, MEMBERS CANNOT HOLD DirtHedz OFFROAD CLUB, THE DIRTCREW, SPONSORS, OR ANY OTHER MEMBER LIABLE FOR LOSS, DAMAGE, OR INJURY DURING A DirtHedz MEETING OR EVENT.
